Author/Client Approval and Revisions.
The client must approve all materials before finalization. Revisions are allowed for up to 2 (two) months after delivery of the final files. Any requested changes beyond this period will incur an additional fee of 10% of the original price.
Payment Terms.
A 50% deposit of the total project cost is required before any design work begins. The remaining 50% is due upon delivery of the final files, and no later than 2 (two) months after delivery. Delayed payments will be charged 10% per month, applied cumulatively.
Accepted payment methods include PayPal, Zelle, and bank transfer/deposit (details will be shared upon request).
The initial deposit is nonrefundable and also serves as the client’s agreement to these terms. All payments made are nonrefundable.
Note: PSD (source) files are not included in the Standard Package. Please refer to the section Ownership & Licensing Rights below for more details.
Deposit.
The deposit must be paid within 10 days of receiving the invoice. If payment is not made within this timeframe, Books and Moods reserves the right to cancel the invoice and this agreement. Additionally, if the deposit is not received within the 10-day period, we cannot guarantee that the originally discussed project start date will remain available, as time slots are only secured once payment is confirmed and may be reassigned to other clients.
Image Usage.
All images used in the design process are sourced from royalty-free image libraries, including but not limited to: shutterstock.com, depositphotos.com, stock.adobe.com, unsplash.com.
Clients may also provide their own materials, including licensed photographs purchased from professional photographers, provided they have the legal rights for use. Books and Moods is not responsible for verifying the licensing or legality of any client-provided material. It is the client’s responsibility to ensure proper usage rights are granted.
Ownership Rights.
The client continues to own any and all proprietary information it shares with Books and Moods during the term of the Agreement for the purposes of the Agreement. Books and Moods has no rights to this proprietary information and may not use it except to complete the Graphic Design services. Upon completion of the Agreement, the client will own the final Graphic Design Deliverables. While Books and Moods will customize the Client’s Graphic Design Deliverables to the Client’s specifications, the client recognizes that Graphic Designs generally can have a common structure and basis. Books and Moods continue to own any and all template designs it may have created prior to the Agreement. Books and Moods will further own any template designs it may create as a result of the Agreement.
AI Usage Policy.
Books and Moods guarantees that no AI-generated art or elements are used in any of our designs. All artwork is created manually by professional designers to ensure originality and full copyright compliance.
Ownership & Licensing Rights
For indie authors: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the final, flattened design files (e.g., JPG, PNG, PDF) for their book(s) and related marketing. This includes usage in both digital and print formats, social media, websites, paid advertising, and other promotional uses directly connected to the work.
This license provides all rights necessary for self-publishing and promoting the work but does not include full copyright ownership of the design. Editable source files (e.g., PSD, AI) are not included unless separately purchased. The Client retains the publishing rights to their written work, while design copyright remains with the Designer.
For publishing companies: Licensing terms may vary depending on the scope of work and distribution plans. Upon full payment, the company is granted a non-exclusive, non-transferable license for the agreed usage, including print and digital book covers, marketing, and promotions. Editable source files (e.g., PSD, AI) and rights for merchandising, sublicensing, or adaptations beyond the original scope must be negotiated separately and may incur additional fees.
These optional items (e.d; PSD , etc) are explained in the Intro Guide or, if not listed there, will be clearly communicated by email. All associated fees must be paid in full and in advance, and files will be delivered only after payment is received.
Books and Moods also retains the right to:
- Use final designs in its portfolio, website, or promotional materials
- Reuse any general design elements or styles that are not specific to the client’s content
If full copyright transfer is required, this must be arranged through a separate written agreement and will involve an additional licensing fee.
Confidentiality.
During this engagement, it may be necessary for the client to share proprietary or confidential information with Books and Moods. We commit to maintaining complete confidentiality throughout and after the project, and will never disclose or use this information for personal benefit.
This clause survives the termination of this agreement.
Termination.
This agreement automatically terminates upon client approval of the final deliverables. Either party may also terminate the agreement with written notice. In such cases, the client remains responsible for all work and costs incurred up to the termination date.
Limitation of Liability.
Neither party shall be held liable for indirect damages, including but not limited to loss of revenue, profit, business, or delivery delays arising from this agreement.
